Working Arrangement: In-OfficeDirect Counsel has partnered with a dynamic firm that is seeking a motivated Corporate Attorney/Associate with 3-6 years of experience to join its Business Group in Cincinnati. This role presents an exceptional opportunity for a candidate to contribute to various corporate work, including mergers and acquisitions (M&A), joint ventures, growth equity financings, and general corporate and commercial matters. The successful candidate will support the in-house legal departments and operational teams of both public and private companies, engaging in dynamic and challenging work.Responsibilities:
- Assist in M&A transactions by preparing ancillary documents, performing due diligence, and drafting diligence reports for internal and client use.
- Draft LLC agreements and other corporate documents customized to meet client needs.
- Negotiate and draft a wide range of commercial contracts, ensuring compliance with applicable laws and regulations.
- Collaborate with clients and internal teams to understand business objectives and provide legal guidance for strategic initiatives.
- Conduct legal research and provide clear analysis on various corporate matters.
- Manage corporate governance issues, including board resolutions and compliance documentation.
- Utilize technology tools for contract management and document automation to enhance efficiency.
- Maintain organized and detailed records of all project-related documentation and communications.
Qualifications:
- Juris Doctor (J.D.) degree from an accredited law school.
- Admitted to practice law in Ohio.
- 3-6 years of experience in corporate law, with a focus on M&A transactions and commercial contracts.
- Proven experience in preparing ancillary documents for M&A, conducting due diligence, and drafting LLC agreements.
- Strong skills in drafting and negotiating various commercial contracts.
- Superior attention to detail, excellent oral and written communication skills, and exceptional analytical skills.
- Comfort with technology and proficiency in legal practice tools, including document management systems and legal research platforms.
- A proactive approach to identifying potential legal issues and proposing practical solutions.
